Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Fatty Toro, LLC ("Company," "we," "us," or "our"), governing your access to and use of CompVault (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Description of Service

CompVault is a software-as-a-service (SaaS) platform that enables real estate professionals to import, parse, organize, and manage lease comparable data. The Service includes AI-powered document parsing, data storage, team collaboration, and report generation features.

Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others, including intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Resell, redistribute, or sublicense the Service without authorization
• Use the Service for any illegal or unauthorized purpose

Your Data

Ownership. You retain all rights to the data you upload to or create within the Service, including your lease comparable information ("Your Data"). We do not claim ownership of Your Data.

License Grant. By using the Service, you grant us a limited license to host, store, process, and display Your Data solely to provide the Service to you.

Privacy. Your Data is only accessible to you and the organization members you invite. We do not sell Your Data to third parties. Please refer to our Privacy Policy for more details on how we handle your information.

Responsibility. You are solely responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it.

AI-Powered Features

The Service uses artificial intelligence to parse and extract data from uploaded documents. You acknowledge that:

• AI-extracted data may contain errors and should be reviewed for accuracy
• You are responsible for verifying the accuracy of parsed information
• We provide confidence scores to help identify uncertain extractions
• Uploaded documents may be processed by third-party AI services (Anthropic)

Subscription and Payment

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for subscription renewals

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time, with access continuing until the end of the current billing period.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Fatty Toro, LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FATTY TORO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, goodwill, or other intangible losses
• Unauthorized access to or alteration of your data
• Data breaches or security incidents
• Any unauthorized disclosure or leakage of your data
• Interruption or cessation of the Service
• Errors, inaccuracies, or omissions in AI-extracted data

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

Indemnification

You agree to indemnify, defend, and hold harmless Fatty Toro, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Data or content you upload to the Service

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. You may export Your Data before termination. We may delete Your Data within 30 days of account termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
